These Voting Rules govern the American Giving Awards 2012 Program ("Program") and set forth the terms and conditions between JPMorgan Chase Bank, N.A. (referred to as "Chase") and voters in this Program. These Voting Rules describe obligations of voters including users of the American Giving Awards Application on Facebook.com and Chase customers with a Chase online account (collectively, "Participants"). Participation in this Program constitutes acceptance of these Voting Rules.
WHO MAY VOTE: During the Voting Period (as defined below) Participants may vote on the American Giving Awards Application on Facebook and/or ChaseGiving.com (see below for details). Only Chase customers with a Chase online account may vote on ChaseGiving.com. Void where prohibited by law. The voting process for the Program is subject to all applicable federal, state and local laws. This Program is in no way sponsored, endorsed, or promoted by, administered by or associated with Facebook. By voting, you understand that your information will be provided to Chase and not to Facebook.
VOTING PERIOD: NO PURCHASE NECESSARY TO PARTICIPATE. VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW.
Chase will select twenty-five (25) charities consisting of five (5) charities in five (5) categories. The five (5) categories are as follows: 1.) Educators & Mentors; 2.) Champions of Health & Wellness; 3.) Heroes & Leaders; 4.) Community Builders, and 5.) Youth Developers (collectively, the "Participating Charities").
The voting period begins on November 27, 2012 at 12:00:01 A.M. Eastern Time ("ET") and ends on December 4, 2012 at 11:59:59 P.M. ET. (the "Voting Period"). Participants may vote through either or both of the methods as described below:
Facebook: Facebook users who allow "Access" to the American Giving Awards Application will receive one (1) vote on the American Giving Awards Application on Facebook.
ChaseGiving.com: Chase Customers with a Chase online account will receive one (1) vote on www.ChaseGiving.com.
Participants who are Chase customers with an online account and who are also Facebook users can vote at both www.ChaseGiving.com and on the American Giving Awards Application on Facebook. Participants who are eligible to vote through both methods may vote for different Participating Charities or for the same Participating Charity through each method.
Chase is not responsible for, nor is it required to count, in its sole and absolute discretion, late, lost, misdirected, unlawful or illicit votes, votes cast for Participating Charities later determined to be ineligible, votes achieved through automated means, by registering more than one (1) user profile on Facebook, using another Participant's e-mail account and name, as well as those that are achieved through other fraudulent means, unsportsmanlike conduct, or in a manner otherwise inconsistent with these Voting Rules. Participating Charities may solicit votes during the voting period; however, Participating Charities may not entice voters by offering consideration, gifts, or awards, including merchandise, online currency, cash, or anything deemed to have monetary value.
Chase reserves the right to not select any Participating Charity in its sole discretion.
AMERICAN GIVING AWARDS EVENT:
All of the Participating Charities will be featured during the American Giving Awards event which is scheduled to be broadcast on or about December 8, 2012 8:00 PM EST/PST and 7:00 PM CST on NBC ("Awards Show").
DONATION / AWARD RECIPIENT DETERMINATION:
Chase will make a total of $2,000,000.00 in donations to the Participating Charities meeting all the eligibility requirements as follows:
Subject to Chase confirming that the Participating Charity has complied with all eligibility requirements, the Participating Charity that receives the most total votes combined from both methods of voting ("Total Vote Count") in each of the five (5) categories will receive a grant ("Charity Category Winners") as described below.
Grant Structure: Chase will award each of the Charity Category Winners with a grant, based upon the Total Vote Count. Chase will grant $1,000,000.00 to the Charity Category Winner that receives the highest Total Vote Count. The Charity Category Winner with the second highest Total Vote Count will be awarded a $500,000 donation from Chase, the Charity Category Winner with the third highest Total Vote Count will be awarded a $250,000 donation from Chase, and the remaining two (2) Charity Category Winners will each be awarded a $125,000 donation from Chase.
The grant recipients will be first publicly announced during the broadcast of the Awards Show. The grant recipients also will be announced on the Chase Community Giving Facebook page by Monday, December 10, 2012. The announcement on the Facebook page may be postponed or delayed in Chase's sole discretion.
In the event of a tie in Charity Category Winners, the winner will be determined by selecting that Participating Charity whose final, tying vote was first received on either the American Giving Awards Application or the ChaseGiving.com website. Chase may award additional donations as it deems appropriate.
Chase, in its sole discretion, reserves the right to suspend, cancel or modify the Program without notice or liability if the integrity of the Program is compromised in any manner as determined by Chase, or if the Program is not capable of being conducted as intended by Chase.
WARRANTIES AND DISCLAIMERS: THE PROGRAM MAY CONTAIN TECHNICAL AND OTHER ERRORS AND LIMITATIONS AND IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CHASE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS IT RELATES TO THIS PROGRAM. THE ENTIRE RISK AS IT RELATES TO THE PROGRAM IS ASSUMED BY PARTICIPANT.
LIMITATIONS OF LIABILITY: Chase, in its sole discretion, reserves the right to suspend, cancel or modify the Program without notice or liability if the integrity of the Program is compromised in any manner as determined by Chase, or if the Program is not capable of being conducted as intended by Chase. Chase assumes no responsibility for any loss or damage to the Participant's computer relating to, or resulting from, entering, accessing or downloading any information or software in connection with this Program or otherwise participating in this Program. Chase and its agents are not responsible for technical, hardware, software or computer malfunctions of any kind, lost or unavailable network connections, problems with the platform on which the Program application runs, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the Participant, for printing or typographical errors in any Program-related materials, or by any of the equipment or programming associated with or utilized in this Program or by any human or other errors that may occur in connection with this Program.
RELEASE AND INDEMNITY: Participant releases Chase, and its parent, affiliates, subsidiaries, officers, directors, agents, employees, Facebook, Inc., NBCUniversal Media, LLC, NBC Universal Studios, Intersport and Dick Clark Productions and all others associated with the development and execution of this Program, from any and all liability with respect to, or in any way arising from, this Program, including, but not limited to, any suspension, modification, or cancellation of the Program.
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL CHASE BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS.
GENERAL CONDITIONS: Chase, Intersport, NBCUniversal Media, LLC, NBC Universal Studios and their respective officers, directors, agents, representatives and employees (collectively, "Released Parties") are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete, delayed or undelivered votes; all of which will be void. Released Parties are also not responsible for problems voting or for any other technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any vote to be received by Chase on account of technical problems, traffic, congestion on the internet or the website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit participant's ability to vote. Chase reserves the right to modify, suspend or terminate the voting process for any reason, including in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the voting process in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity of, or proper tabulation of votes, and, if terminated, at Chase's discretion, (i) determine the award winners using all non-suspect, valid votes received up to time of cancellation. Chase reserves the right at its sole discretion to disqualify any individual or Participating Charity it finds or suspects to be tampering with the voting process or any website, including any act that is intended to or has the effect of annoying, abusing, threatening, harassing, or disparaging any other individual, Chase or any of its representatives or to otherwise be acting in violation of these Voting Rules and void all associated votes. CAUTION: Any attempt by an individual to deliberately damage any website or undermine the legitimate operation of the voting process is a violation of criminal and civil laws. Should such an attempt be made, Chase reserves the right to seek damages from any such individual(s) or Participating Charity to the fullest extent permitted by law and to disqualify such votes. Participating Charity may solicit votes during the voting periods; however, Participating Charity may not entice potential voters by offering any type of consideration, gift, or award, including merchandise, online currency, cash or anything deemed to have monetary value.
ARBITRATION: Participating Charities and Chase waive all rights to trial in any action or proceeding instituted in connection with the Voting Rules, Terms of Participation, or the Program (including any activity related thereto). Any controversy or claim arising out of or relating to the Voting Rules, Terms of Participation or the Program shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party.
GOVERNING LAW AND DISPUTES: Except where prohibited, Participant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with the Program or any donation awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York, New York, U.S.A.; (b) all issues and questions concerning these Voting Rules, the Terms of Participation and the Program shall be governed by and construed in accordance with the laws of New York, U.S.A., without giving effect to any choice of law or conflict of law rules.
